Additional terms for store owners selling on KwariGo.
This Vendor Agreement ("Agreement") is between AKM Innovations Ltd. (RC 8759581) ("KwariGo") and you ("Vendor") when you register a store or sell on the Platform.
By creating a vendor account or listing products, you agree to this Agreement, the Terms of Service, Privacy Policy, and Refund Policy.
You sell as an independent business. KwariGo provides marketplace and technology services. You are the seller of record for your listed products unless KwariGo expressly states otherwise for a specific programme.
Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.
You must provide accurate business, contact, identity, CAC, and bank details. KwariGo may verify information before or after approval.
Bank account names must match your store name or registered admin/owner name. This is the account customers pay at checkout for bank-transfer orders.
KwariGo may approve, reject, suspend, or request updates to your store or verification data at its discretion for legal, fraud, or quality reasons.
You are responsible for accurate titles, descriptions, prices, images, stock levels, and compliance with allowed product categories.
Prohibited items listed in the Terms of Service are not permitted. Counterfeit or misleading listings may result in immediate suspension.
KwariGo may charge marketplace commissions, subscription fees, or other charges disclosed in your dashboard, pricing page, or fee schedule.
Commissions may be tracked against your sales and collected according to the fee schedule shown in your vendor dashboard.
For bank transfer checkout, customers pay your verified business bank account directly. KwariGo does not hold those customer funds — you receive payment in your account and confirm receipt in the vendor app before fulfilling the order.
Where card or Paystack checkout is offered, payments are processed through Paystack according to applicable payment provider terms and your fee schedule.
KwariGo may withhold or offset amounts for chargebacks, refunds, fee balances, suspected fraud, or policy violations.
You are responsible for applicable taxes on your sales unless KwariGo is legally required to collect and remit on your behalf.
You must accept, prepare, and hand over orders promptly. Where KwariGo or its logistics partners fulfil on your behalf, you must comply with packaging and handover requirements communicated by KwariGo.
Marking a paid order as not available without valid reason may trigger cancellation, customer refund, and account penalties.
You must respond to customer enquiries and cooperate with refund and dispute investigations. KwariGo may mediate disputes and its decision on platform operations may be final for continued use of the Platform.
You grant KwariGo a worldwide, non-exclusive, royalty-free licence to use your store name, logos, product images, and descriptions to operate, promote, and improve the Platform.
You warrant that you own or have rights to all content you upload and that your products do not infringe third-party rights.
KwariGo may suspend or terminate your store for policy breaches, fraud, poor performance, legal requests, or risk to customers or the Platform.
Upon termination, KwariGo may offset outstanding commissions, refunds, chargebacks, or owed fees against any amounts still due between you and the Platform.
Vendor indemnifies KwariGo for claims arising from your products, listings, tax obligations, or breach of this Agreement.
KwariGo's liability to you is subject to the limitations in the Terms of Service unless mandatory law provides otherwise.
This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the courts of Kano State, Nigeria, subject to mandatory consumer or regulatory provisions.
